Job Description

Our corporate office in Houston, Texas is seeking a Senior Paralegal to serve as a key member of the legal team, primarily supporting corporate and securities matters. 

Duties and Responsibilities:

  • Preparation and maintenance of corporate records, including electronic and physical corporate minute books, charter documents, consents, resolutions; corporate structure diagrams; corporate director and officer slates; applications for foreign qualifications; and director and officer questionnaires.
  • Act as liaison with company transfer agent. 
  • Act as liaison with CT Corporation regarding company formation/ registration/ maintenance and obtaining corporate certificates.
  • Assistance with preparation and distribution of materials to directors in anticipation of board meetings.
  • Assist in preparation for annual stockholders meeting. 
  • Assistance with preparation (including Edgarization) and filing of submissions with the U.S. Securities and Exchange Commission (including Section 16 reports, ’34 Act filings, annual proxy, etc.). 
  • Maintain schedule of Section 16 individual’s grants, options, restricted shares, vesting dates, sold and remaining shares.
  • General office assistance with correspondence, expense reports, travel bookings, organizing meetings, etc.
  • Fully supports Company goals of continuous improvement, including reviewing area of responsibility for improvement opportunities as well as active participation on project teams.
  • Work as part of the department team, including assisting and providing back-up for other members of the department as needed.

The successful candidate will possess excellent organizational, interpersonal, and communication skills, a team-oriented mindset and strong work ethic; and the ability to multitask.  Efficiency and accuracy are extremely important.  Overtime work is occasionally required.  


  • High school Diploma required and paralegal certification preferred.  Additional college or business school preferred. 
  • Minimum of 6 years of experience working with lawyers, preferably in major law firm and in a corporation. 
  • Must be proficient with computer software, primarily Microsoft Word, Excel, and PowerPoint. 
  • Experience with board portal (e.g., BoardVantage), matter management (e.g., Serengeti), and diagramming (e.g., Visio) programs and systems is strongly preferred.
